1. Scope of Services
Al Masar provides full-stack web development, user interface design, workflow automation, and custom Artificial Intelligence (AI) integrations (including Large Language Models, embeddings, and vector databases).
- Deliverables: Specific project deliverables, timelines, and costs are defined in individual Statements of Work (SOW) or project agreements.
- Maintenance and Support: Unless explicitly stated in a signed SLA (Service Level Agreement), ongoing maintenance, post-launch bug fixes, or adaptations to third-party platform updates require a separate agreement.
2. AI Capabilities and Output Disclaimer
- Probabilistic Nature of AI: Client acknowledges that AI tools, LLMs, and automated agents are inherently probabilistic systems. While Al Masar configures workflows according to best industry practices, we do not guarantee 100% factual accuracy, completeness, or flawlessness of AI-generated outputs.
- Human-in-the-Loop Oversight: Client is solely responsible for implementing human verification protocols before relying on or publicly publishing critical AI-generated decisions, content, or financial outputs.
- No Unfair Liability: Al Masar shall not be held liable for any damages, inaccuracies, business interruptions, or operational errors resulting directly from output produced by integrated AI models.
3. Third-Party Dependencies and Infrastructure
- External APIs and Providers: Our applications and automation workflows rely on external third-party services (including, but not limited to, OpenAI, Anthropic, Supabase, Vercel, Resend, and payment gateways).
- Service Availability: Al Masar is not responsible for service downtime, API rate limiting, third-party feature deprecation, or sudden pricing adjustments made by third-party infrastructure providers.
4. Intellectual Property Rights
- Client Ownership: Upon 100% completion of payment, the Client receives full ownership rights to the final custom front-end design, unique business logic, and code written specifically for their deliverable.
- Developer Pre-Existing IP: Al Masar retains ownership of pre-existing starter kits, reusable code boilerplates, custom AI prompt architectures, and internal development tools used to build the project. The Client is granted a non-exclusive, perpetual license to use these embedded tools as part of the completed deliverable.
- Portfolio Rights: Al Masar reserves the right to display non-confidential project visual assets, screenshots, and live URL references in its online agency portfolio, case studies, and promotional materials unless covered by a separate signed NDA.
5. Scope Creep and Change Requests
- Project estimates cover strictly the agreed-upon Scope of Work (SOW).
- Additional features, revisions, or architectural changes requested outside the SOW are billed at Al Masar's standard hourly rate and may adjust project completion timelines.
6. Payment Terms and Cancellation
- Payment Schedules: Unless otherwise agreed, projects require a non-refundable deposit prior to commencing work, with remaining milestone payments tied to agreed delivery schedules.
- Late Payments: Delays in milestone payments may lead to project suspension or delayed deployment dates.
7. Limitation of Liability and Warranty
- As-Is Provision: Services and code are provided on an as-is and as-available basis without warranties of any kind, express or implied.
- Financial Cap on Liability: To the maximum extent permitted by applicable law (including UAE law), Al Masar's total cumulative liability for any claim arising out of or related to our services shall never exceed the total amount actually paid by the Client to Al Masar for the specific project or milestone in question.
- Exclusion of Consequential Damages: Under no circumstances shall Al Masar be liable for loss of profits, data loss, business interruption, or indirect damages.
8. Governing Law
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates, without giving effect to any principles of conflicts of law.
